1. Agreement
These Terms of Service ("Terms") govern your access to and use of SendChief, a service operated by WILB LLC ("WILB LLC", "SendChief", "we", "us"), including the dashboard application, the managed mail server infrastructure, and the marketing website at sendchief.com (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
SendChief provisions and manages dedicated virtual private servers ("VPS") with a production-grade mail server, DNS configuration, mailbox creation, and related infrastructure on behalf of Subscribers. The VPS instances are provisioned on third-party infrastructure providers (e.g. Scaleway), DNS is managed via Cloudflare, domain registrations are processed via Namecheap, payments are processed via Stripe, and transactional emails from SendChief are sent via Resend.
3. Accounts and Workspaces
You must provide accurate account information and keep it current. You are responsible for safeguarding your password and for any activity that occurs under your account. Workspaces provide logical separation of resources; workspace owners are responsible for the actions of members they invite. Notify us immediately at support@sendchief.com if you suspect unauthorized access.
4. Subscriptions and Billing
Paid plans are billed in advance through Stripe on a recurring basis. Subscription fees are non-refundable except where required by applicable law. You authorize us to charge your payment method for each billing cycle until you cancel. You can cancel any time from the dashboard or by contacting us. Cancellation stops future billing cycles; it does not refund the current cycle. Prices are subject to change with at least 30 days' notice; price changes do not apply to cycles already paid for.
Domain registration fees are charged separately and are non-refundable once the domain is registered with the registrar. A free .com domain may be included with certain plans; terms for the free domain are defined at purchase time.
5. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk email (spam) as defined by the CAN-SPAM Act (US), PECR (UK), GDPR (EU), or equivalent local laws;
- Send phishing, fraudulent, deceptive, or malware-laden content;
- Attempt to compromise the security or availability of the Service or third-party infrastructure;
- Violate intellectual property rights or applicable law;
- Resell the Service without our written permission;
- Circumvent technical limits, rate limits, or access controls;
- Engage in activity that harms the reputation of shared infrastructure components upstream (e.g. abusing IP ranges leased from our infrastructure providers).
We may suspend or terminate accounts that violate these rules, and we may report illegal activity to law enforcement.
6. Content and Data Ownership
You retain ownership of all content you create, send, and store through the Service, including mailbox data, domains, and any customer data that passes through your SendChief infrastructure. SendChief makes no claim to your content. You grant SendChief a limited license to host, transmit, and process your content solely for the purpose of operating the Service.
7. Data Portability
SendChief is built to avoid vendor lock-in. On cancellation, you can export mailbox credentials, transfer domain registrations, and — for most infrastructure — retain access to the underlying VPS under your own account with the infrastructure provider, subject to that provider's terms.
8. Service Availability
SendChief targets high availability but does not currently offer a formal uptime SLA. Planned maintenance will be announced in advance where possible. We are not liable for downtime attributable to upstream providers (Scaleway, Cloudflare, Stripe, etc.) or to force-majeure events.
9. Third-Party Services
The Service integrates with third-party providers including Scaleway, Cloudflare, Stripe, Namecheap, Resend, Supabase, and PostHog. Your use of those providers through SendChief is also subject to their respective terms. SendChief is not responsible for changes, outages, or policy decisions made by third-party providers.
10. Intellectual Property
The SendChief name, logo, website content, and software (excluding open-source components distributed under their respective licenses) are owned by WILB LLC. SendChief™ is a trademark of WILB LLC. These Terms do not grant you any right in WILB LLC's intellectual property other than a limited, non-exclusive right to use the Service while your subscription is active.
11. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, SendChief disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. SendChief does not guarantee specific email deliverability rates — deliverability depends on factors including sending behavior, recipient filtering, and upstream infrastructure.
12. Limitation of Liability
To the maximum extent permitted by law, SendChief's total liability for any claim arising out of or related to these Terms or the Service is limited to the amounts paid by you to SendChief in the twelve (12) months preceding the claim. SendChief is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility.
13. Indemnification
You agree to indemnify and hold harmless SendChief and its officers, employees, and agents from any claim arising out of your use of the Service in violation of these Terms or applicable law, including spam complaints, content liability, or infrastructure abuse.
14. Termination
You may terminate your use of the Service at any time by cancelling from the dashboard. We may suspend or terminate your access for violations of these Terms, non-payment, or legal obligations. On termination, your right to use the Service ends, but provisions that by their nature should survive (ownership, disclaimers, limitation of liability, indemnification, governing law) will survive.
15. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced via email or in-product notice with at least 30 days' notice before taking effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Wyoming, except where mandatory local consumer-protection laws apply.
